Each Party hereby undertakes to hold in absolute confidence all Confidential Information of other Users. Refrain from solicit information in private messaging. Both Parties understand that information can be accessed or obtained which relate to the laws of the UK, which includes but not limited to TIC personnel, employees, subcontractors, consultants or agents, shall be bound by each Party’s undertaking under this Agreement. Exempt from the duty to hold in confidence the Confidential Information is any Confidential Information that:

– It becomes generally available to the public other than as a result of a breach of the provisions of the TOU
– Site is acquired from a Third Party who owes no obligation of confidence to the disclosing Party in respect of the Confidential Information is independently developed by the receiving Party without the use of the disclosing party’s Confidential Information. The receiving Party is required by law or requested by any governmental agency to disclose, providing always that the receiving Party shall promptly notify the disclosing Party of such requirement prior to any such disclosure, It may not be known by the receiving Party at the time of its receipt (as evidenced by its written records)

3.1 Registration of the User
The Site Visitor must be registered with TIC if they want access without restriction and wants to post a deal on the TIC Website. We can at any time reject user request for registration free from discretion. The Site Visitor represents and warrants that before becoming TIC website site User. Customers understands that we do not provide legal and/or tax advice and are not responsible for advising them on the laws pertaining to his/her transaction.

TIC reserves the right to investigate complaints or reported violations of the Agreement. We can take any action it deems appropriate including but not limited to reporting any suspected unlawful activity to law enforcement officials, regulators or other third parties. This includes breaking the confidentiality Agreement by disclosing any information necessary or appropriate to such persons or entities relating to User profiles, Email Address, usage history, posted materials, IP addresses and traffic information.

3.4 Making Changes of the TIC Website
We have full entitlement without prior notice to Users for a good reason to modify the TIC Website and the services connected therewith to shut down the TIC Website temporarily or permanently at any time TIC aims to modify Users of such changes through alerts on the Website prior to commencement

The liability of TIC under on in connection with this agreement shall be limited to the extent possible by the Governing law. Our website and connected services are provided on an “AS IS”, “with all faults” and “currently available” basis. The risk to the satisfactory performance, quality and accuracy is with the deal promoter. TIC does not make representations or warranties under this agreement. All representations and warranties of TIC under or in connection with this Agreement are excluded to the extent legally possible. Please note: Information provided by the Website Users determined by their satisfactory to the accuracy, adequacy and completeness under your complete investigations into any deal promotion or financial offering.

TIC does not endorse, recommend any User, deal seeker or investment opportunity. There may be errors of deficiencies in the information provided by the Website Users and TICof which we strongly recommend seeking further information or legal advice prior to any transaction. TIC does not screen or examine information uploaded by the Website Users or contracted partners/advertisers. It is just simply a platform of information. The Website User agrees that:

We have the power to accept and authorize Terms on the TOU. The TOU is a legal, valid, binding and enforceable document against the Website User. The Website User to observe applicable laws and regulations in the Terms of this Website and the Code Of Conduct expressed herein. Deals uploaded by the Financial Provider are consistent with the laws applicable to the laws and regulations of UK. Deal Promoters are responsible for each Deal they promote on TIC Website. Information described for each Deal must be accurate, non – misleading and complete.

The Website User shall indemnify and defend to the full, true extent permitted by UK law against any cause of action, liabilities, losses, cost of expenses (including Fees and expenses of legal council) with respect to any claim by Third Parties arising out of Website Users’ failure to perform it’s obligations under the Agreement. We can not be held responsible for Website User misleads and misdeeds.

3.8 Force Majeure
No Party shall be liable to the other if performance of any of its obligations is prevented, hindered, or delayed by the occurrence of circumstances beyond its control. Circumstances shall include, but shall not be limited to, any act of God, act of any Government or other statutory undertaking, industrial dispute beyond the area of control of such Party. TIC is not responsible or under no control of anything that constitute a force majeure event, i.e., are beyond the control of the Party invoking it. Force Majeure events include non responsibility as a result of the failure of such Party to perform any of its obligations under the Agreement.

Following the occurrence of any such event the Party thereby affected shall notify the other Party in due time of such occurrence and such Party shall use its reasonable endeavors to overcome or to minimize the adverse effects thereof. Performance of the affected and related obligations shall be postponed for a period equal to the time lost by reason of the delay. If as a result of force majeure a Party is rendered definitely unable to perform, or if the period of force majeure has lasted longer than three months or as soon as it is reasonably clear that it will last longer than three months, the other Party may, with immediate effect, terminate the Agreement in writing.

3.9 Modifications of the Agreement

We reserve the right to modify the Agreement at any time, without giving reason. We shall give prior notice of any modifications of the Agreement on the Site, held for 7 days. If the Website User does not object to the applicability of the revised Agreement within 20 days after receipt of said notice, the modified Agreement shall be deemed to be accepted by the Users’. If you do not agree to any change in the TOU, this Agreement shall be terminated automatically which may mean possible Account Termination. (Please review Account Termination Agreement)

3.10 Miscellaneous And Account Termination

The Parties agree that, in the event of any disputed or unresolved claim, debt or obligation, any and all rights to set-off and/or rights to retain funds are expressly waived and Accounts are possibly Terminated. Website Users may submit Email using the contact form provided on the TIC Website to request Termination (To end the contract or to end this Agreement in part). A written notice (including but not limited to a notice of termination) shall include a reply of gratitude by the appropriate submitted address.

The Parties hereto are and remain independent parties. It is not the Parties’ intent to create, recreate, amend this Agreement and it does not create the formation of a partnership, joint venture or similar relationship between the Parties. Website Users shall not assign or transfer any of its rights and obligations under this Agreement without our prior written consent. The Agreement constitutes the entire Agreement between the all Parties with respect to the subject matter of the Agreement.

Should any provision of the Agreement be invalid or unenforceable, the remaining provisions shall be valid. In the place of an invalid provision, a valid provision is presumed to be agreed upon by the Parties, which comes economically closest to the one actually agreed upon. All disputes arising out of or in connection with the Agreement shall be governed by UK law excluding the conflict of law rules and the Laws in treaties. Failure or neglect by us to enforce any of the provisions of this Agreement shall not be construed or deemed to be a waiver of TIC rights.

All disputes arising out of the Agreement or in connection with the Third Party activities shall be solely in discretion of those Parties. The place of arbitration shall be in United Kingdom. The court of arbitration shall conduct the proceedings and all awards shall be rendered in the English language.

3.11 Account Termination
The Agreement shall take effect with the usage of the TIC Website or in case of a registration according to Article subject above with the acceptance of the Website Users’ request for termination. This Agreement shall continue to be in force until termination. Under this Article, Website User must ask TIC to remove the details it hold on database to be fully removed and must be made clear in writing or in Email.

4.0 Fees For Website Use

The Website User shall pay in full to TIC the fees are indicated on the TIC Website (hereinafter the “Fees”) as they become due. The Fees include all related taxes (hereinafter “Taxes”). The means of payment are indicated on the TIC Website. All Fees are non-refundable. There are no refunds, credits or vouchers made available. TIC has the right to change the fees on the Website at any time. Subject to change includes the trial period Fee and the monthly Fee.

4.1 Taxes
Each Party will pay Taxes now or hereafter imposed by law on the respective Party unless otherwise provided by the Agreement.

4.2 Due Diligence

We are not responsible for any due diligence. We encourage End Users to perform their own effective due diligence. We encourage end Users to get the right advice from professional bodies. Due diligence includes:

  • Company register, address and contact details
  • Team Members
  • Using social media and Website URL for company identity
  • Company name and team history in search engines
  • Previous User recommendations
  • Previous company formation
  • Possible Registrations with Financial Authorities
  • Legal disclosures and Representing agents.

5.0 Service Providers/Deal Promoters

5.1 Access To This Website

5.2 Uploading and/or Changing of Deals
The Service Provider is entitled to upload deals/information/opportunities on the TIC Website. The Service Provider does not need to be authorized to post its deal on the TIC Website although posts may be held for moderation. You, the Service Provider accept that it can be prosecuted by law (not limited to) for improper conduct/s and misuse of information, identity theft and fraud.TIC is in full trust of the Service Provider as they represent themselves and their business respectfully.

The amount of Deals, format, allotted time period shown for which each Deal is displayed on the TIC Website is recognized in this Agreement. An uploaded Deal can be closed by TIC at any time with or without warrant or permission. The Service Provider acknowledges that TIC is entitled to use and store the information of the Deals or any part thereof for the purposes of the Agreement and consents to such use.

5.3 False Misrepresentation
We are entitled to remove a Deal from the TIC Website at any time, free discretion within reason. TIC has the right to hold the posted Deal for investigations from Financial Authorities, Police and other Securities you may have breached. In this case, TIC is not obliged to refund any money to the Deal Promoter.

5.4 Total Agreement of Notice
